Job Description :
Purpose : Enable CCA & FTZ / Border & Duty Free to deliver results creatively, legally and ethically.
Preserve value (financial and reputational) by minimizing the risk of value leakage and litigation and maintaining compliance with laws and Diageo’s Codes leading the compliance agenda for CCA.
Market Context :
The Caribbean and Central America (CCA) is one of Diageo’s most diverse and profitable markets. It is the number 1 market in Latin America and the Caribbean (LAC) in terms of profitability, both in absolute and margin terms, and close to number 2 in terms of NSV.
Globally, we are the second most profitable market for Diageo, after North America.
Our route to market is achieved through a combination of 12 major Free Trade Zone & Border customers, and approximately 57 key Distributor Partners.
We also manage several co-packing partnerships throughout the region, and Panama is home to our innovation technology center and principal warehousing operations.
The 37 countries that comprise CCA boast a cumulative population of 77 million people who speak a range of languages including English, Spanish, French, Dutch, Creole, Patois and numerous other native languages.
There is a significant and growing emerging middle class (EMC) population across what are relatively young, but broadly stabilizing, democracies.
Decision Making :
Contribute to the CCA Exec / Leadership Team.
Specifically, create possibilities utilizing functional experience to advance possibilities to a real outcome, e.g., ideal structuring or risk assessment.
Lead direct reports and role model the Diageo leadership capabilities, mentor and motivate and build interdependency within the market.
Ensure good corporate governance and compliance, including training.
Accountable for end-to-end legal spend and own any budget variance.
Work effectively with projects, which may include acquisitions and negotiation of new joint ventures.
Financial Responsibility :
As with many legal roles, value should also be assessed in terms of negative value, i.e. avoiding value leakage and compliance issues.
Counsel will also drive value through strategic initiatives.
Leadership Responsibility :
Be a key advisor for the GM and Exec in all relevant legal matters, working along with other areas and functions of the business to ensure that the delivery of the business strategy is supported by a strong legal framework that minimizes risk for the business but at the same time creates possibilities to allow it to growth.
Demonstrate ownership and influence key stakeholders to embed understanding of business risks and ensures a strong risks assessment and action plans to minimize organizational risks.

Key Outputs / Deliverables :
Function as a highly effective, pragmatic legal and business adviser and make unique value-creating contributions to the CCA Exec / Leadership Team.
Ensure that legal is an integral part of the CCA & FTZ / Border business.
Ensure that all team members are excellent business partners and lead by example.
Minimize legal risk by early involvement in key projects, guiding resolution of issues and proactively creating an environment where risk is avoided.
Achieve the right balance between hands on doing of legal work, managing external lawyers and training of staff on relevant topics.
Lead the compliance agenda and embed that culture throughout the organization to live up to our ambition of being the most trusted and respected consumer products company in the world.
Qualifications and Experience Required
Strong commercial law background, especially in the negotiation and documentation of commercial contracts.
Excellent understanding of tax complexities.
Track record of effectively managing and leading a team.
Strong influencing and coaching skills.
Ability to work confidently and stand ground with senior managers.
Qualified lawyer with at least 10 years of experience.
Strong leadership capabilities.
English fluent and Spanish is desirable.
Flexible working options
Role is based in Panama.
This role requires travelling (estimated 20%) and effective usage of virtual communication channels rather than face-to-face meetings with the rest of the CCA / FTZ&B organization.
